Valuing common and preferred stock

The IRS requires privately held companies to value common stock and options issued as compensation. Under IRC 409(A), companies need not only an estimate of what its enterprise is worth at a given time, but also how that value should be allocated to different classes of stock. We have done this for hundreds of companies across a wide-spectrum of situations. We have seen just about any ownership arrangement imaginable, and we also have the accumulated experience to figure out new ones.

Valuing businesses or private equity holdings for estate tax purposes

The famous saying is that the only certainties in life are death and taxes. Unfortunately, they also can happen at the same time in the case of estate taxes. Our experts are experienced in valuing difficult-to-value interests, including family businesses, or holdings of preferred stock, common stock, options, or other complex ownership interests in privately held companies.
